Alberta Azerbaijani Cultural Society Bylaws

 

1. MEMBERSHIP Alberta Azerbaijani Cultural Society (ALACS) membership terms and conditions are defined by the Board of Directors of ALACS at Directors Meeting. However any suggestions concerning ALACS Membership terms and conditions from ALACS members are more than welcome and will be hugely appreciated. Anyone at age of 18 or older may apply for being a member of ALACS by filling out the ALACS Membership Application Form and submitting this form to ALACS secretary at The application form has to be approved by a favorable vote passed by a majority of ALACS members at regular meeting. The applicant will be notified on ALACS decision. The Membership fee has to be paid annually in January for existing members or within three weeks after receiving ALACS approval letter for new members. ALACS full membership fee is 20$ per year.
ALACS has also student membership fee of lO$/year and reduced membership fee of 5$/year for students and low-income members.

ALACS will appreciate any volunteer help. Those who wish to volunteer for ALACS (age of 16 or older) have to fill out ALACS Membership application form and indicate "volunteer" in special place provided. Volunteers will not: pay membership fee, participate in ALACS meeting or have right to vote in ALACS.

2. WITHDRAWAL OF MEMBERSHIP Any member of ALACS wishing to withdraw from membership may do so upon giving one week notice to ALACS secretary at contact@alacs.biz . Any member upon a majority vote of all members of the ALACS in good standing maybe expelled from membership for any cause which the society may deem reasonable.

3. PRESIDENT It is the duty of the President to keep the Seal of the ALACS and whenever used shall be authenticated by the signature of the President and the Secretary. With permission of the President the Secretary can use and be in charge of the ALACS seal.

The President shall preside at all meetings of the ALACS and of the Board of Directors of ALACS. In the absence of the President, the Vice-President shall preside at any such meetings. In the absence of both, a chairperson may be selected at the meetings to preside.

 4. DIRECTORS AND OFFICERS Board of Directors, Executive Committee of Board, shall mean the Board of Directors of the ALACS.
The Board shall have full control and management of the affairs of the ALACS and meetings of the Board shall be held as often as may be required, but at least once every three month, and shall be called by the President. Meeting of the Board shall be called by 7 days notice either in writing or by call or other way.
A person appointed or elected a director becomes a director if they present at the meeting when being appointed or elected., and did not refuse the appointment.
Any director or officer, upon a majority vote of all members in good standing, may be removed from office for any cause, which the ALACS may deem reasonable.

5. SECRETARY It shall be the duty of the secretary to attend all meetings of the society and of the Board, and to keep accurate minutes of the same. In case of absence of the Secretary, his/her duties shall be discharged by such officer as may be appointed by the Board. The Secretary shall have charge of all the correspondence of the ALACS and be under the direction of the President. With permission of the President the Secretary can use and be in change of the ALACS seal.
The Secretary shall also keep a record of all members of the ALACS, sent all notices of the various meetings as required, and collect and receive the annual assessments levied by the society. Such monies shall be promptly turned over to the Treasure .
 

6. TREASURER The Treasurer shall receive all monies paid to the ALACS and be responsible for the deposit of same in whatever Bank or Trust Company. He/She shall properly account for the funds of the ALACS and keep such books as may be directed. He/she shall present a full detailed account of receipts and disbursements to the President whenever requested and shall prepare for submission to the Annual Meeting a statement duty audited of the financial position of the society and submit a copy of the same statement to the Secretary of the record of the society.

7. AUDITING The books, accounts and records of the ALACS Secretary and Treasurer shall be audited one month prior to the ALACS Annual Meeting by two members of the society elected for that purpose at the Annual Meeting. A complete and proper statement of the standing of the books for each year shall be submitted by such auditor at the Annual Meeting of the society.
The books and records of the ALACS may be inspected by any member of the society at the Annual Meeting or at any time upon giving reasonable notice and arranging a time satisfactory to the officer(s) having charge of same. The fiscal year of the ALACS is 1 December of each year.

8. MEETINGS The ALACS shall hold an annual meeting on December of each year, of which notice will be sent to all ALACS members to last known contact e-mail address 7 days prior to the date of the meeting. At this meeting there shall be elected a President, Vice-President, Secretary, Treasurer (or Secretary-Treasurer) and three directors. The officers and directors so elected shall form a Board, and shall serve until their successors are elected and installed. Any vacancy occurring during the year shall be filled at the next meeting. Any member in good standing shall be eligible to any office in the society.

General meetings of the ALACS may be called at any time by the Secretary upon the instructions of the President or Board by noticing all ALACS members to last known contact e-mail address 7 days in advance to the date of such meeting. A special meeting shall be called by the President or Secretary upon receipt of a petition signed by one third of the members in good standing, setting forth the reason for calling such meeting, which shall be announced in advance, as indicated above.

5 members in good standing shall constitute a quorum at any meeting.
 

9. VOTING Any member who has not withdrawn from membership nor has been suspended nor expelled shall have the right to vote at any meeting of the society. Such votes must be made in person unless otherwise is specified.
 

10. REMUNERATION Unless authorized at any meeting and after notice for same shall have been given, no officer or member of the association shall receive any remuneration for his/her services.

11. BORROWING POWERS For the purpose of carrying out its objects, the society may borrow or raise or secure the payment of money in such manner as it thinks fit, and in particular by the issue of debentures, but this power shall be exercised only under the authority of the ALACS, and in no case shall debentures be issued without the sanction of a special resolution of the society.

12. BYLAWS The Bylaws may be rescinded, altered or added to by a "Special Resolution".
